Master Terms of Service
Strict B2B commercial agreements governing digital infrastructure, AI deployment, SMS messaging, and data ownership.
01. Initialization & The B2B Directive
By engaging with JaLuMa Digital LLC, you enter into a binding Business-to-Business (B2B) commercial contract. We do not sell "hours"; we sell executed code, independent infrastructure, and deployed systems. If you are acting as an individual consumer, terminate the connection immediately.
02. Jurisdiction & Governing Law
The Wyoming Shield: JaLuMa Digital LLC is a registered Wyoming LLC. Despite our engineering hub in Spain, all disputes shall be governed exclusively by the laws of Wyoming, USA. Forum Selection: Any legal action shall be instituted exclusively in the Wyoming Chancery Court.
03. The "Mechanical Honesty" Data Pledge
- » Code Ownership: You own the specific instances of custom Odoo 19 code we deploy.
- » Data Ownership: You own 100% of your customer data. We will never hold your database hostage.
- » Zero Seat Taxes: You only pay Odoo licenses for active office users. Field workers incur zero software seat taxes.
04. Financial Protocols & The Diagnostic Credit
The $800 initialization fee for the Diagnostic Scan (Wing 01) is strictly non-refundable upon booking, covering the immediate allocation of heavy compute resources. However, this fee acts as a 100% direct pre-paid credit applied entirely toward any long-term system build.
* Penalty Clause: Unstructured legacy data, corrupt sheets, or out-of-scope manual labor is billed flatly at $150/Hour.
05. Artificial Intelligence & The "Zero-Harvest" Pledge
- » Zero-Harvest: We legally guarantee we will never utilize your proprietary CRM data to train public base LLMs.
- » No Live Voice Liability: We operate strictly via text. We do not deploy live voice agents, bearing zero biometric risk or audio hallucination liability.
06. AI Transparency & Regulatory Compliance
Article 50 Compliance (EU): The Partner bears the responsibility of displaying clear disclosures informing end-users they are interacting with an AI system. Anti-Discrimination Prohibition (US): The Partner is strictly prohibited from utilizing the AI infrastructure to make unreviewed, consequential decisions regarding employment, credit, healthcare, or housing.
07. Maintenance & 12-Month Code Warranty
We include a 12-Month Infrastructure Warranty on custom builds. If our deployed code breaks, we fix it at zero cost. For independent builds (Wing 3.02), we require a $250/month utility to patch API schema connections. If you opt out, you assume all operational risks of software degradation.
08. SMS Messaging Terms & Conditions (A2P 10DLC)
By opting in to receive SMS messages from JaLuMa Digital LLC, you agree to the following messaging terms:
- Program Description: JaLuMa Digital LLC provides SMS communications for customer service inquiries, missed-call text-back follow-ups, account alerts, and requested 10-second infrastructure diagnostic reports.
- Opt-Out Instructions: You can cancel the SMS service at any time. Just text "STOP" to unsubscribe. After sending "STOP", we will send a confirmation message that you have been unsubscribed.
- Customer Support: If you experience issues with the messaging program, reply with the keyword "HELP" or email jason@jalumadigital.com.
- Rates & Frequency: Message frequency varies depending on your interactions with our system. Message and data rates may apply according to your mobile carrier.
- Carrier Liability Disclaimer: Carriers are not liable for delayed or undelivered messages.
- Mobile Data Protection: No mobile information will be shared with third parties or affiliates for marketing or promotional purposes. All text messaging originator opt-in data and consent are strictly excluded from data sharing.
